Terms of Service

These Terms are an agreement between the Shopify merchant using ReorderGuard and IgamingTeam LLC, the operator of ReorderGuard.

1. The service

ReorderGuard connects to an authorized Shopify store and produces inventory-planning information, including demand estimates, safety stock, reorder points, stockout timing, and suggested purchase quantities. Recommendations are decision-support outputs, not guarantees of sales, availability, supplier performance, or financial results.

2. Eligibility and authority

You must be legally able to enter into this agreement and authorized to install applications and grant data access for the relevant Shopify store. If you act for a company, you represent that you have authority to bind it.

4. Shopify and third-party services

ReorderGuard depends on Shopify APIs and independent infrastructure providers. Their outages, API changes, limits, or account actions may affect the service. Shopify is not responsible for ReorderGuard, and ReorderGuard is not endorsed by Shopify unless Shopify states otherwise.

5. Plans and payment

Features, usage limits, trial terms, and prices shown in the application or Shopify listing apply to your plan. If a paid plan is offered, charges and billing changes will be disclosed before confirmation through Shopify’s approved billing flow. Taxes may apply. We may change future pricing or plan limits with reasonable notice where required.

6. Intellectual property

IgamingTeam LLC and its licensors retain all rights in ReorderGuard, including its software, interface, branding, documentation, and calculation methods. You retain ownership of your store data. You grant us a limited right to process that data only to provide, secure, support, and improve the service as described in the Privacy Policy.

7. Availability and changes

We aim to keep ReorderGuard available and accurate, but may modify, suspend, or discontinue features for maintenance, security, legal, or product reasons. We will use reasonable efforts to provide notice of material changes when practical.

8. Disclaimers

To the maximum extent permitted by law, ReorderGuard is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Forecasts and recommendations depend on source data and assumptions and may be incomplete or inaccurate.

9. Limitation of liability

To the maximum extent permitted by law, IgamingTeam LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, data, goodwill, or business opportunity; or purchasing and inventory decisions made using the service. Our aggregate liability arising from ReorderGuard will not exceed the greater of the amount you paid for the service during the three months before the event giving rise to the claim or USD 100. These limits do not apply where prohibited by law.

10. Suspension and termination

You may terminate these Terms by uninstalling ReorderGuard. We may suspend or terminate access for material breach, misuse, non-payment, security risk, legal requirement, or discontinuation of the service. Data handling after termination is described in the Privacy Policy.

11. General

If part of these Terms is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, or sale of the service. Applicable mandatory consumer rights are not limited.
